REGARDING VALUATION.
People often want to understand the true value of their business.
They may be going through life changing situations including selling the business; passing it down to the next generation; tax issues or any manner of other personal reasons.
 
My name is Eric Jordan; born October 18, 1952 in Killarney, Manitoba.
I received some very practical experience growing up on a farm/ranch in South Western Manitoba.
I have been in business for 40 years; the last 14 running Pin Services Ltd. and the PIN.CA website where we have helped hundreds of people sell businesses across Western Canada and beyond. Valuation is a large part of what we have done.

ESTABLISHING FAIR VALUE
We come at this from four distinct viewpoints:
(1)   Existing Accounting - The view from an accounting perspective relying on the numbers created by the clients existing accountant, then finding the real 'Normalized Net Income' through a proprietary process.
(2)   Risk - Looking from the insurance viewpoint - assessing risk to buyer.
(3)   Human Capital - From the view of a resume broker in accessing value of the human capital involved in the business.
(4)   Intellectual Property and Proprietary Processes - Understanding, assessing, and estimating the intellectual property and proprietary knowledge that is transferred with the business.

The bottom line is… the tax forms submitted to the government are only 'submitted forms,' these forms are merely the starting point in our analysis.
 
HOW PIN IS DIFFERENT FOR SALES
PIN reaches the entrepreneurial marketplace with your opportunity presented in a realistic way, backed by real numbers and practical analysis. We set the table for a deal to happen at a fair price. No pressure on either buyer or seller. We leave lots of room for common sense to prevail.
 
Comparatively the real estate agent is interested in making a deal. They manipulate the seller down and the buyer up. In this system either the buyer pays too much or the seller sells too cheap, as fair market value does not seem to be a major factor in the deal.
 
HOW THE PROCESS WORKS
(1)   I will do a conference call with you. I would gather information. Expect the conference call to be in the two hour range.
(2)   Within 48 hours I should be able to send you back a report with a number and a list of reasons why.
(3)   You folks will look over the analysis. There may be something I missed and I am willing to review if someone can point to a flaw.
(4)   Once any corrections are made we would be job done.
(5)   It matters not if you live in Miami Florida, Vancouver BC or Mexico. What matters is that you give me correct information.

 

IF NEEDED - WE CAN HELP YOU SELL
(1)   We have a template of a confidentiality non disclosure form you might choose to adjust and have any potential buyer sign before you share confidential information from the report.
(2)   Your lawyer is not on commission and is probably someone you trust to look out for your interests. Your lawyer is therefore the person you should want to write any sale agreement. I would steer clear of any templates for offers of sale and purchase of a business. However, simple does work. Take a big sheet of white paper. Draw a line down the middle. On one side place your expectations. On the other side have the buyer place their expectations; if those expectations seem to match, you take it to your lawyer and have him/her put the expectations into legal form. Have your lawyer explain the contract to you and if you are satisfied, it goes to the buyer’s lawyer. If the buyer and his lawyer are agreeable, you go ahead and do the transaction. It does not have to be complicated or expensive.
